Fair Usage Policy

How we protect the shared Exenai Connect platform so unmetered use stays fast, stable, and fair for every customer.

This Fair Usage Policy ("Policy") applies to Exenai Connect and forms part of, and is incorporated by reference into, the Exenai Master Services Agreement. It sits alongside the Exenai Acceptable Use Policy. Where the Acceptable Use Policy governs what use is permitted, this Policy governs the scale and pattern of permitted use.

1. Purpose and principle

Exenai Connect is sold on an unmetered basis. There is no per-call, per-agent, per-app or per-seat charge, and no feature gating. Nothing in this Policy introduces one.

This Policy exists for a single purpose: to protect the stability, performance and cost base of the shared platform so that every customer receives the service they are paying for. It is not a meter, not a billing mechanism, and not a route to additional charges. Exenai will not raise a retrospective charge under this Policy.

2. Scope

This Policy applies to all use of Exenai Connect, including requests made through the Connect gateway by AI clients, applications published to the Connect App Host, live artefacts, and agents or scheduled functions, whether those are operated by the Customer within its own AI accounts or hosted by Exenai on the Customer's behalf.

3. Normal use

The following is expressly within fair use and will never be treated as a fair usage concern, at any volume consistent with the size of the Customer's licensed user base:

  • Interactive use of Connect by named users through their AI clients during the working day;
  • Use of published Connect applications and live artefacts by named users and, where licensed, by candidate and client users;
  • Agents and scheduled functions configured to support the Customer's day to day recruitment operations;
  • Peaks and spikes associated with genuine business events, such as a large campaign, a migration, a reporting cycle or a period of unusual hiring activity.

Exenai expects usage to vary considerably between customers of the same size, and does not regard heavy, legitimate use as a problem. Enthusiastic adoption is the intended outcome.

4. Use outside fair use

Fair usage concerns arise from pattern and persistence, not from volume alone. The following are outside fair use:

  • Sustained automated activity that is not associated with the work of named users, including use of the gateway as a general purpose data pipeline, replication or ETL mechanism between systems;
  • Bulk extraction, mirroring or export of data from connected systems beyond what is required for an agreed purpose;
  • Agents, scheduled functions or applications that run in a loop, recur at a frequency that serves no operational purpose, or continue to execute after they have ceased to produce useful output;
  • Sharing of named user credentials, or use of the Services by individuals who are not licensed named users;
  • Activity that materially degrades performance or availability for other customers;
  • Activity that circumvents, or is designed to circumvent, the controls described in the Acceptable Use Policy.

5. Agents hosted by Exenai

Where Exenai hosts agents or scheduled functions on the Customer's behalf, Exenai bears the underlying model and compute cost of those agents. The Customer remains responsible for configuring them with an operational purpose, a defined scope and a sensible schedule.

Exenai may apply proportionate execution limits to hosted agents where their behaviour is inconsistent with that responsibility. Agents operated by the Customer within its own AI accounts remain subject to the Customer's own arrangements with its model provider, and third party model costs are excluded from Exenai's fees in all cases.

6. Connected systems

Exenai Connect operates against systems licensed by the Customer, such as Bullhorn or Invenias. Any rate limits, API quotas or usage terms imposed by those providers apply to the Customer under the Customer's own agreements with them.

The Customer is responsible for ensuring that its use of Connect remains within those limits. Exenai will apply reasonable protections at the gateway and will notify the Customer where activity through Connect appears likely to exhaust a connected system's quota, but Exenai is not responsible for the consequences of the Customer exceeding them.

7. How Exenai handles fair usage

Where Exenai identifies activity outside fair use, it will:

  • Contact the Customer, describe what has been observed and provide the supporting audit data;
  • Work with the Customer to understand the cause, which is frequently a misconfigured agent or an unintended pattern rather than a deliberate act;
  • Agree a remedy, which may include reconfiguration, optimisation, a change of approach, or a change to the Customer's subscription where the underlying need is genuine and ongoing;
  • Allow a reasonable period, ordinarily not less than 30 days, for that remedy to take effect.

Exenai will not suspend or restrict the Services under this Policy without first following this process, other than as set out in Section 8.

8. Protective action

Where activity presents an immediate risk to the stability, security or availability of the platform, or to a connected system, Exenai may apply rate limiting or suspend the specific agent, application or connection responsible without prior notice. Exenai will notify the Customer promptly, explain what was done and why, and restore normal service as soon as it is safe to do so. Action under this Section will be limited to what is necessary to remove the risk.

9. Transparency

Exenai Connect maintains a full, queryable audit of activity through the gateway. Customers may inspect their own activity at any time, and Exenai will share the relevant audit data with any Customer with whom it raises a matter under this Policy.

10. Relationship to subscription tiers

This Policy is separate from the Customer's subscription tier. A Customer whose usage is heavy but legitimate does not move tier because of that usage. Tier is determined by the Customer's licensed named user count, as set out in the applicable order form, and by nothing in this Policy.

11. Review

Exenai will review this Policy at least annually and will consult the Founding Customer Council before making any material change to it.
